Terms of Service

1. Agreement to Terms

By accessing or using PropStax ("Service," "Platform," "we," "us," or "our") at https://app.propstax.com and https://propstax.com, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and PropStax. We reserve the right to modify these Terms at any time; continued use of the Service following any change constitutes your acceptance of the revised Terms.

2. Description of Service

PropStax is a cloud-based prop-firm balance + drawdown tracking platform for futures traders. Our Service includes:

• Account tracking: ingest balance and drawdown snapshots from your connected broker accounts
• Risk analytics: liquidation buffer, drawdown walks, account-state derivation
• Cost & payout ledger: per-account costs (eval fees, monthly subs, resets) and payouts received from prop firms
• Per-firm rollups: ROI and trading-day rollups across your portfolio
• Broker integrations: connect to supported APIs for automatic sync — currently Tradovate (OAuth), Rithmic (per-sync credentials), and DxFeed-fronted prop firms (per-sync credentials)
• Calendar views: visualize trading activity by day, week, or month
• File import: bulk-import historical accounts, costs, and payouts via spreadsheet (Pro tier)

PropStax is not a prop firm and is not affiliated with any prop firm. We connect to brokers and prop firms on your behalf to pull balance data; we have no commercial relationship with them and cannot influence rule decisions, account status, or payout approval.

3. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Be legally capable of entering into binding contracts
• Not be barred from using the Service under applicable law
• Not have been previously suspended or removed from the Service

By registering, you represent and warrant that all information you provide is accurate, current, and complete.

4. Account Registration and Security

4.1 Account Creation

To access the Service you must create an account with a valid email and password. You are responsible for maintaining the accuracy of your account information.

4.2 Account Security

You are solely responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately at feedback@beta.propstax.com of any unauthorized use or security breach

We will not be liable for any loss or damage arising from your failure to protect your account credentials.

4.3 One Account Per User

Each user may maintain only one active account. Creating multiple accounts may result in termination of all associated accounts.

5. Broker Connections and API Integrations

5.1 Third-Party Broker Services

The Service offers integrations with third-party brokers and data-feed providers ("Connected Brokers") including but not limited to:

• Tradovate (OAuth-based; refresh token stored encrypted)
• Rithmic (username/password sent per sync; never persisted)
• DxFeed-fronted prop firms such as MyFundedFutures, Taurus Arena, The Trading Pit, TradeFundrr, TradersLaunch, FunderPro Futures, Phidias (username/password sent per sync; never persisted)

The list above is not exhaustive and may change as integrations are added or removed.

5.2 Authorization

By connecting a brokerage or prop-firm account, you authorize PropStax to access your account balance, risk parameters, and historical snapshot data through the broker's API or data feed. This access is read-only. We cannot place trades, modify positions, transfer funds, or change account settings on the broker side.

5.3 No Broker Affiliation

PropStax is not affiliated with, endorsed by, or partnered with any Connected Broker or prop firm unless explicitly stated. Connected Brokers have their own terms of service and privacy policies that govern your use of their services.

5.4 Broker Connection Disclaimer

We are not responsible for:

• Service interruptions or outages at Connected Brokers
• Data accuracy issues originating from Connected Brokers
• Changes to broker APIs that affect our integration
• Any issues you may experience with your brokerage or prop-firm account

5.5 Broker Connection Limitations and Session Termination

Connection behavior:

• PropStax will establish one or more connections to your broker's servers on your behalf to retrieve your data
• These connections count against your account's total allowed concurrent connections
• If your account is at or near its connection limit, initiating a sync may cause your broker to terminate your existing sessions on other platforms — including trading platforms, charting software, market data feeds, and any other application connected to the same broker account

Your acknowledgment:

By using any broker sync feature, you acknowledge and agree that:

1. You understand syncing may terminate active connections on other platforms
2. You have verified that you are not actively trading or using critical applications that require an uninterrupted broker connection
3. You accept full responsibility for any consequences resulting from connection termination, including disconnection from active sessions, inability to manage open positions, and any trading losses that may occur as a result

PROPSTAX SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, OR HARM ARISING FROM TERMINATION OF YOUR SESSIONS ON OTHER PLATFORMS, INTERRUPTION OF YOUR TRADING ACTIVITIES, OR ANY TRADING LOSSES INCURRED DURING OR AFTER A SYNC OPERATION.

You will be required to acknowledge this risk each time you initiate a broker sync. Proceeding past the acknowledgment confirms you have read, understood, and accepted these terms.

6. User Content and Data

6.1 Your Data

You retain ownership of all account data, tags, notes, and other content you upload or create on the Platform ("User Content"). By uploading User Content, you grant PropStax a non-exclusive, worldwide, royalty-free license to store, process, and display your User Content solely for the purpose of providing the Service.

6.2 Prohibited Content

You agree not to upload content that:

• Is unlawful, defamatory, obscene, or harmful
• Infringes on intellectual property rights of others
• Contains malware, viruses, or malicious code
• Violates any applicable law or regulation

6.3 Data Accuracy

You are solely responsible for verifying the accuracy of your account data. PropStax is not responsible for errors in data imported from broker connections or uploaded files. We display what the broker reports.

7. Subscriptions and Payments

7.1 Plans

The Service offers tiered plans (Free, Pro, and optional promo-only Beta). Features and limitations for each tier are described on our pricing page. We may add, modify, or retire tiers from time to time.

7.2 Billing

Paid subscriptions are billed in advance on a monthly recurring basis. Payment is processed through Stripe; we do not see or store your card number.

7.3 Automatic Renewal

Paid subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.

7.4 Cancellation

You may cancel your subscription at any time through Settings → Billing → Cancel subscription. Cancellation takes effect at the end of the current billing period. You retain access to paid features until the end of the period you have paid for. Payment-method and invoice-history changes are available through the Customer Portal served at billing.propstax.com.

7.5 Refund Policy

All payments are final and non-refundable, except:

• Where required by applicable law
• At our sole discretion in cases of documented service deficiencies we cannot resolve

7.6 Price Changes

We reserve the right to modify pricing at any time. Price changes will be communicated in advance and apply to the next billing cycle. If you do not accept the new pricing, you may cancel before the change takes effect.

8. Intellectual Property

8.1 Our Property

The Service, including its design, software, source code, graphics, logos, and all content created by PropStax, is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

8.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation.

9. Prohibited Activities

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to the Service or its systems
• Use automated scripts, bots, or scrapers to access the Service
• Interfere with or disrupt the Service or its infrastructure
• Impersonate any person or entity
• Share your account credentials with others
• Use the Service to develop a competing product
• Circumvent any security features or access restrictions

10. Disclaimers

10.1 Not Investment, Trading, or Tax Advice

THE SERVICE IS FOR INFORMATIONAL PURPOSES ONLY. PROPSTAX DOES NOT PROVIDE INVESTMENT ADVICE, TRADING RECOMMENDATIONS, TAX ADVICE, OR FINANCIAL GUIDANCE OF ANY KIND.

We display balance, drawdown, cost, and payout figures sourced from your brokers and from your own entries. We do not recommend trades, do not generate trading signals, and do not provide tax-reporting advice. Cost and payout figures shown should not be treated as a substitute for a tax professional, your broker's reports, or any official accounting record.

10.2 No Guarantee of Results

Past trading performance displayed in the Service does not guarantee future results. Trading futures involves substantial risk of loss and is not suitable for all investors.

10.3 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted or error-free
• Data displayed will be accurate or complete
• Any defects will be corrected
• The Service will meet your specific requirements

11. Limitation of Liability

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPSTAX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits or revenue
• Loss of data
• Trading losses
• Business interruption
• Any damages arising from your use of the Service

11.2 Cap on Liability

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless PropStax, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of a third party
• Your User Content

13. Termination

13.1 Termination by You

You may terminate your account at any time through Settings → Profile → Delete Account, or by contacting us at feedback@beta.propstax.com.

13.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, including for:

• Violation of these Terms
• Suspected fraudulent or illegal activity
• Non-payment of fees
• Extended periods of inactivity
• At our sole discretion for any reason

13.3 Effect of Termination

Upon termination:

• Your right to access the Service immediately ceases
• Your account data is removed per the Data Retention section of the Privacy Policy
• Provisions of these Terms that by their nature should survive termination shall survive

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions.

14.2 Dispute Resolution

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware or remotely, at our discretion.

14.3 Class Action Waiver

YOU AGREE THAT ANY CLAIMS WILL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

14.4 Small Claims Exception

Either party may bring an individual action in small claims court.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PropStax regarding your use of the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver.

15.4 Assignment

You may not assign these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations without restriction.

15.5 Notices

We may provide notices to you via email, in-app notifications, or by posting on the Service. You may contact us at feedback@beta.propstax.com.

16. Risk Disclosure

TRADING FUTURES, AND PARTICIPATING IN PROP-FIRM EVALUATIONS, INVOLVES SUBSTANTIAL RISK OF LOSS AND IS NOT SUITABLE FOR ALL INDIVIDUALS.

• Evaluation and reset fees are real money out of pocket and most evaluations fail
• Past performance is not indicative of future results
• You should only spend on evaluations what you can afford to lose
• Consult a qualified financial advisor before making any trading decisions

PropStax is a tracking and analytics tool only. We do not provide trading signals, recommendations, or financial advice of any kind. Numbers shown by the Service summarize what your broker and your own entries report — they are not a substitute for a tax professional, your broker's official reports, or any accounting record.
